- AI consulting and strategy
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for service delivery
- Grant necessary access to advertising accounts, websites, and platforms
- Make timely payments according to agreed terms
- Respond to requests for information or approval in a timely manner
- Comply with all applicable laws and platform policies
- Maintain confidentiality of any proprietary strategies or methods shared
4. Payment Terms
Payment terms are as follows:
- Fees are due according to the payment schedule outlined in your service agreement
- Late payments may result in service suspension or termination
- All fees are non-refundable unless specifically stated otherwise
- Ad spend budgets are separate from management fees
- Price changes require 30 days written notice
5. Performance and Results
While we strive to achieve the best possible results for our clients, we cannot guarantee specific outcomes, rankings, traffic levels, or conversion rates. Digital marketing results depend on many factors including market conditions, competition, budget, and client cooperation.
6. Intellectual Property
All intellectual property created during our engagement, including strategies, campaigns, and creative assets, remains the property of Swan Digital HQ unless specifically transferred in writing. Clients retain ownership of their:
- Brand assets, logos, and existing content
- Customer data and lists
- Website domain and hosting accounts
- Social media accounts and followers
7. Confidentiality
Both parties agree to maintain confidentiality of all proprietary information shared during the course of the business relationship. This includes business strategies, customer data, financial information, and any other sensitive business information.
8. Termination
Either party may terminate services under the following conditions:
- 30 days written notice for monthly agreements
- Immediate termination for breach of contract
- Immediate termination for non-payment
- Upon completion of project-based work
Upon termination, clients will receive final reports and account access transfer assistance for a period of 30 days.
9. Limitation of Liability
Swan Digital HQ's liability shall not exceed the total amount paid by the client in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages, lost profits, or business interruption.
10. Dispute Resolution
Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The prevailing party shall be entitled to reasonable attorney's fees.
11. Governing Law
These terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
12. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
